Design Upload Terms

These Design Upload Terms (“Upload Terms”) apply whenever you upload, submit, preview, store, or otherwise provide a design, image, photograph, illustration, text, or other creative material (“Design”) to Draperfect.

These Upload Terms apply whether your Design is submitted for a private custom project or for potential public sale.

By uploading or submitting a Design, you agree to these Upload Terms and Draperfect’s Privacy Policy.

1. Your Ownership of the Design

You retain any copyright and intellectual property rights that you own in your Design.
Uploading a Design to Draperfect does not transfer ownership of the Design to Draperfect.
You represent and warrant that:

  • You created the Design; or
  • You have obtained all rights, licenses, permissions, and consents necessary to upload and use the Design for the purpose selected;
  • Draperfect’s permitted use of the Design will not violate the rights of another person or organization; and
  • There are no known disputes, restrictions, or conflicting agreements that would prevent the requested use.

If a Design was created using third-party materials, stock assets, commissioned work, generative AI tools, or other external sources, you are responsible for confirming that the applicable terms permit the intended use.

2. Protected and Prohibited Material

You may not upload a Design that unlawfully uses or refers to protected material belonging to another person or organization.

Without appropriate authorization, Designs must not include:

  • Celebrity names, images, likenesses, signatures, or other publicity rights;
  • Fictional characters or recognizable elements from films, television programs, books, games, comics, or other media;
  • Company names, brand names, logos, trademarks, trade dress, slogans, or product names;
  • Artwork, photographs, illustrations, patterns, or other creative works created by another person;
  • Sports team names, logos, uniforms, mascots, or related protected material;
  • Private or personal information belonging to another person;
  • Content that is unlawful, defamatory, threatening, hateful, discriminatory, obscene, or otherwise prohibited by applicable law.

A reference to popular culture, a person, a company, or a product is not automatically permitted merely because the Design has been modified, redrawn, or described as fan art.
You are responsible for determining whether you have sufficient legal permission to use any third-party material.

3. Permission to Process Your Design

You retain ownership of your Design. By uploading or submitting a Design, you grant Draperfect and its authorized service providers a limited, non-exclusive license to host, store, reproduce, resize, crop, format, adapt, and otherwise process the Design solely as necessary to provide the services you request, including previewing, reviewing, proofing, sampling, printing, manufacturing, order fulfillment, and customer support.
This permission does not transfer ownership of the Design to Draperfect and does not authorize Draperfect to publish, advertise, or offer a Private Design for sale unless you separately submit it for public sale and provide the required approval.

4. Private Designs

Designs submitted as Private will not be intentionally published in the public Design Library or offered for sale to other customers.

Draperfect may share a private Design only with employees, contractors, production partners, technology providers, or professional advisers who need access to provide the requested services and are subject to appropriate confidentiality or data-protection obligations.

A private Design will only be considered for public sale after you:

  1. Submit a separate For Sale application;
  2. Complete Draperfect’s review process; and
  3. Explicitly approve the Design for publication.

5. Designs Submitted for Sale

Submitting a Design for sale is an application for review. It does not automatically authorize Draperfect to publish, market, manufacture for other customers, or offer the Design for sale.
Draperfect may request supporting files, licenses, permissions, source materials, revisions, colorways, repeat files, proofs, or other information reasonably necessary to complete the review.
A Design will not be made publicly available for sale unless all required reviews, confirmations, and commercial onboarding steps have been completed.

6. Design review

Draperfect may review any submitted Design for:

  • File quality and production feasibility;
  • Copyright, trademark, publicity, privacy, or other rights concerns;
  • Compliance with these Upload Terms;
  • Compliance with applicable laws;
  • Safety, quality, and brand standards; and
  • Suitability for the requested product.

Draperfect may request additional information, documentation, permissions, or revisions.
Draperfect may refuse, suspend, or cancel a submission or order if it reasonably believes that the Design violates these Upload Terms, applicable law, or another party’s rights.
Acceptance of a file or production of a product does not mean Draperfect has verified ownership of the Design or determined that the Design is legally permissible.

7. Proofs and Production

Digital previews are directional and may not exactly represent final color, scale, placement, texture, or construction.

Where required, Draperfect will provide production details or a proof for confirmation. You are responsible for reviewing the proof and notifying Draperfect of any requested corrections before approval.

Production begins only after all required approvals, payment, and order details have been completed.

8. Intellectual-Property Complaints

Draperfect may remove or restrict access to a Design if it receives a credible complaint alleging that the Design violates copyright, trademark, publicity, privacy, or another protected right.

Draperfect may request information reasonably necessary to investigate the complaint and may provide relevant submission and contact information where required by law.

9. Your Responsibility

You are responsible for the Design you upload and for obtaining all necessary rights and permissions.

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, and reasonable costs resulting from:

  • Your violation of these Upload Terms;
  • Your violation of another party’s rights;
  • Inaccurate statements about your ownership or permissions; or
  • Draperfect’s authorized use of a Design submitted by you.

10. Disclaimers

To the fullest extent permitted by applicable law, the Design Studio, file-upload features, digital previews, proofs, and Design review services are provided on an “as is” and “as available” basis.

Draperfect does not warrant that these services will be uninterrupted, error-free, secure, or available at all times. Digital previews and proofs may not exactly represent the final color, scale, repeat, placement, texture, material, or construction of a finished product.

Draperfect’s review, acceptance, proofing, or production of a Design does not constitute legal advice or confirmation that the Design is original, legally protected, or free from third-party claims. You remain responsible for determining whether you have all rights and permissions required for the intended use.

Draperfect does not guarantee that a Design will be approved, manufactured, published, offered for sale, purchased by customers, or generate any sales, royalties, or other revenue.

Nothing in these Upload Terms excludes or limits any warranty, right, remedy, or liability that cannot lawfully be excluded or limited.

11. Storage and Deletion

Draperfect may retain submitted Designs and related records for as long as reasonably necessary to provide services, fulfill orders, maintain production records, resolve disputes, enforce these Upload Terms, or comply with legal obligations.

You may request deletion of an unused private Design by contacting Support@draperfect.com.

Deletion requests may not apply to completed-order records, backups, legal records, or files that Draperfect must retain for legitimate business or legal purposes.

12. Changes to these Upload Terms

Draperfect may update these Upload Terms periodically.
Material changes will apply prospectively unless applicable law requires otherwise. The effective date shown at the top of this page identifies the latest version.
